Welcome to IQT Media. These Terms and Conditions (“Terms”) govern your access to and use of the websites, platforms, technology and services provided by IQT Media, located at P.O. Box 234, Shilat, Israel (“Company”, “we”, “us”, or “our”).
These Terms apply to IQT Media’s corporate ecosystem and its proprietary products, including but not limited to Yabaleli, Framealyzer, Catchups.ai and any other current or future applications or services operated by the Company (collectively, the “Platform”). Please note that specific products or services within the Platform may be subject to their own respective terms of use. In the event of any conflict or inconsistency between these general Terms and any product-specific terms of service, the product-specific terms shall prevail and take precedence with respect to your use of that particular product.
By accessing or using our Platform, you acknowledge that you have read, understood and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please refrain from using the Platform.
1. ELIGIBILITY AND ACCOUNTS
1.1. Legal Capacity: You must be of legal age and capacity in your jurisdiction to form a binding contract. If you are under the age of 18 (or the legal age in your country), you may only use the Platform under the supervision of a parent or legal guardian.
1.2. Product-Specific Accounts: Access to specific products (e.g., Yabaleli) may require separate registration. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2. THE SERVICES AND TECHNOLOGY
2.1. The Technology: Our Platform utilizes proprietary algorithms, natural language processing (NLP) and machine learning (“Technology”) to transform text, images and URLs into video content and other digital formats.
2.2. Modification of Service: We reserve the right to modify, suspend, or discontinue any part of the Technology or Platform at our sole discretion without prior notice.
3. INTELLECTUAL PROPERTY RIGHTS
3.1. Company Ownership: All contents, materials, software, algorithms, trademarks and logos on the Platform, including the Technology itself, are the exclusive property of IQT Media or its licensors.
3.2. Input Content: By uploading or providing URLs, text, or images (“User Input”), you represent and warrant that you own or have the necessary licenses to use and process such content. You grant IQT Media a worldwide, royalty-free, perpetual license to use the User Input solely for the purpose of providing and improving the services.
3.3. Output Ownership: Unless otherwise stated in a specific product’s terms, all rights, titles and interests in the content generated by the Platform (“Output”) shall remain the exclusive property of IQT Media. IQT Media hereby grants you a limited, non-exclusive, non-sublicensable license to use, share and display the Output for your personal or commercial purposes, subject to compliance with these Terms and any applicable subscription fees.
4. RESTRICTIONS ON USE
You agree not to:
Use the Platform for any illegal purpose or in violation of any local, state, or international law.
Circumvent, disable, or interfere with security-related features of the Platform.
Use automated systems (robots, spiders) to scrape or access the Platform in an unauthorized manner.
Reverse engineer or attempt to extract the source code of our Technology.
Upload User Input that is libelous, obscene, hateful, or infringes on third-party intellectual property rights.
5. PAYMENTS AND MONETIZATION
5.1. Product Terms: Monetary transactions, subscriptions and billing are managed independently by each product (e.g., within the Yabaleli app or Catchups.ai website).
5.2. Third-Party Processors: Payments are processed via third-party providers (e.g., Stripe, Apple Pay, Google Pay). IQT Media is not responsible for the errors or security breaches of these third-party processors.
6. DISCLAIMERS AND LIMITATION OF LIABILITY
6.1. "As Is" Basis: The Platform and Output are provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the Output will be accurate, complete, or suitable for any specific purpose.
6.2. AI Limitations: You acknowledge that the Technology relies on artificial intelligence. AI-generated content may contain inaccuracies or unintentional biases. IQT Media is not liable for any such errors in the Output.
6.3. Limitation of Liability: To the maximum extent permitted by law, IQT Media shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Platform. Our total liability for any claim shall not exceed the amount paid by you (if any) to the Company in the six (6) months preceding the claim.
7. INDEMNIFICATION
You agree to indemnify and hold harmless IQT Media and its affiliates from any claims, damages, or expenses (including legal fees) arising out of your User Input, your violation of these Terms, or your infringement of any third-party rights.
8. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the State of Israel. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv-Jaffa, Israel.
